What's included?

• Up to 15 changes to your company per year, including director appointments, share transfers, and share allotments for no additional cost (additional transactions thereafter are charged at our standard rates). Information regarding the changes included is listed below.
• A dedicated account manager, who is an experienced company secretarial professional, on hand to answer your questions and process your instructions.
• Preparation and filing of your annual Confirmation Statement, including the Companies House filing fee.
• Preparation and maintenance of your company registers, including the statutory register of members (as required by the Companies Act 2006).
• Exclusive solicitor-written guidance notes covering key topics and processes you need to be aware of when running a company (such as the directors' duties and entering into contracts). 
• Use of our "Trust Badge" - display our Trust Badge on your website to help enhance your credibility and reputation.

Below is the full list of changes that can be made with the service (we will draft the documentation, arrange signatures, and file at Companies House):

• Change of Registered Office address

• Change of Accounting Reference Date

• Approval of annual accounts

• Change of company name

• Appointment of a director

• Resignation of a director

• Transfer of shares (up to 2 shareholders)

• Issue of shares (up to 2 shareholders)

• Add or remove a guarantor (for companies limited by guarantee)

• Acquisition by the company of its own shares for no consideration

• People with Significant Control filings

• Change of director or secretary details

• Notification or change to a Single Alternative Inspection Location (SAIL) address

• Director resolution to add, remove, or change the details of an individual on the company's bank mandate

• Basic director approval to enter into an agreement

• Basic interim or final dividend approval

• Dormant company accounts (please note, this is not a renewable service and will need to be requested each year, if required)

• Consolidation of share certificates

• Authorising or de-authorising an individual to act as a signatory

• Replace lost share certificates (including indemnity form)

• Filing of additional confirmation statement to update SIC codes, statement of capital and/or shareholder list
